Okta Agreement

10.5 Full agreement, waiver, conflict and seability. This professional service agreement, along with the (s) form (s) and all declarations of work, constitutes the whole agreement between the parties regarding the purpose of this contract, and all previous or simultaneous written or oral agreements between the parties in this regard and relating to the purpose of this agreement are expressly annulled. No amendments, amendments or waivers of a provision of this professional service contract or a declaration of work take effect unless both parties sign in writing and in writing. The inability of one of the parties to enforce a provision of this professional service agreement does not constitute a waiver of another right under this Agreement or the subsequent application of those provisions or other provisions. In the event of a conflict between the provisions of this professional service agreement and the provisions of a declaration of work, the provisions of the declaration of work apply and control. Notwithstanding the contrary language of this contract, no conditions in a customer order or other customer order documents are included in any part of this professional service agreement or this nullity is accepted. Any non-application of a provision of this professional service contract does not constitute a waiver of that provision or any other provision. In the event that one of the provisions of this professional service agreement is found to be unenforceable by a court or other competent court, these provisions are limited or removed so that the agreement remains fully in force for professional services and remains effective and applicable. Subject to Section 9.3, the customer will defend Octa in the face of any claim, claim, action or proceeding filed by a third party against Octa which alleges a violation of third-party rights resulting from the customer`s provision of customer data.

The client releases Okta for any damages and/or costs (including, but not limited to reasonable legal fees) awarded by a competent court or paid to a third party pursuant to a transaction agreement signed by the client.
